Elena’s practice focuses on capital markets, finance, and mergers and acquisitions. In the capital markets field, Elena’s experience focuses in debt – especially corporate bonds- and equity issuances, including IPOs, secondary offerings and private placements. Elena also advises on takeover bids as well as corporate governance issues and other regulatory issues relating to the capital markets legislation. Her practice further expands to drafting loan and security agreements, taking part in due diligence reviews and advising on corporate transactions including financings, joint ventures and mergers and acquisitions, particularly those involving listed companies.
Advising a consortium of shareholders on their investment in a Greek credit institution
George Bersis, assisted by Elena Theocharakou and Elli Anastopoulou represent a consortium of shareholders with respect to the management of their investment in a Greek listed credit institution. The mandate includes advising on various corporate law and corporate governance matters as well as on shareholders’ negotiations regarding future capital actions in the investee institution.

Admission to trading of c. 152m EUR DTC warrants and conversion into shares; 240m EUR share capital increase with pre-emptive rights through a public offering
George Bersis, assisted by Elena Theocharakou and Anastasios Charalampous advised a Greek listed credit institution in the admission to trading of Euro denominated warrants representing a deferred tax credit of c. 152m EUR which were converted into new ordinary shares of the issuer. The transaction was followed by a share capital increase with pre-emptive rights in favour of existing shareholders of the issuer, through a public offering, with 240m EUR total proceeds.
